Terms and Conditions

Products are sold for research or laboratory use only and not intended to be administered to humans.

All sales are net 30 days of invoice.  Products are shipped F.O.B. shipping, freight is prepaid and added to the invoice. Prices are subject to change without notice. All orders are subject to final acceptance by Discovery Life Sciences at the prices in effect at the time of shipment. Discovery Life Sciences may, in its sole discretion, refuse to ship orders to a location specified by Customer. Discovery Life Sciences will select method of delivery; title passes to the customer upon Discovery Life Sciences delivery of products to the transportation company.

Regarding custom services, Discovery Life Sciences will perform all services following: a) the supplied quotation, or b) the customer’s specific instructions using generally prevailing industry standards.Cancellation of services before the services are completed will not obligate Discovery Life Sciences to provide a refund or bill for an amount less than quoted. Partial charges or charges in full may bebilled depending upon the progress of the service from the starting date.

BREXIT.  If a Brexit Trigger Event occurs, Discovery Life Sciences may require the Customer to negotiate in good faith an amendment to the previously agreed upon terms of the services to be performed (including, but not limited to, the delivery dates and pricing) to alleviate the Brexit Trigger Event. If the parties are unable to complete an amendment within 30 days of the notice of the impacted party, Discovery Life Sciences may terminate its performance without penalty or damages owing to the Customer.  For purposes of this Section, “Brexit Trigger Event” means any of the following events: (a) an adverse impact on Discovery Life Sciences’ ability to perform in accordance with the originally agreed upon terms; (b) an increase in the costs incurred by Discovery Life Sciences in performing in accordance with the originally agreed upon terms of at least 5% since the price for the services was last agreed.

Regarding custom services, customers will supply Discovery Life Sciences with materials and/or data. The customer will own all materials and/or data associated with the custom services (unlessotherwise agreed to by Discovery Life Sciences and the customer). The customer may at anytime request to be sent back all documents and/or remaining materials at the customer’s expense;otherwise, the materials and information will be stored at Discovery Life Sciences and/or a subcontractor’s facility until notified.

If a shipment is damaged, accept the shipment and retain all shipping materials for inspection. Make a note on the transportation company waybill of any visible damage at the time of receipt andreport the damage to Discovery Life Sciences Client Services (1-866-838-2798). As title passes to the customer upon delivery of products to the transportation company, you are responsible for damageclaims with the shipping company.

We carefully check and recheck packages before shipment to help eliminate the possibility of errors. If any shipping discrepancies are discovered, claims must be made within 10 days of receiptof shipment. Please check all packing material thoroughly upon receipt of shipment.

Products may not be returned without prior authorization by Discovery Life Sciences. Due to the perishable nature of our products, contact Discovery Life Sciences Premier Support (1-866-838-2798) as soon aspossible.

For FFPE blocks and derivative products, samples may not be returned after 45 days from the date of shipment. Please contact Discovery Life Sciences Premier Support (1-866-838-2798) with any questions.

The absence of a specific warning should not be interpreted to mean that the products have been proven to be non-toxic or safe to be handled without standard safety precautions. The absence of a warning must not be interpreted as an indication of safety.

Discovery Life Sciences products are sent with the condition that you are responsible for their safe storage, handling, and use. Discovery Life Sciences is not liable for damages or injuries resulting from receipt and/or use of Discovery Life Sciences materials.

Discovery Life Sciences has classified products by biosafety level (BSL) for purposes of packaging for safe shipment. The classification is based on assessment of the potential risk using U.S. PublicHealth Service guidelines. Discovery Life Sciences recommends handling our products in accordance with BSL-2. BSL-2 presents a moderate risk and should be handled under guidelines. It is ultimately the recipient’s and their institution’s responsibility to determine the biosafety level and work with the material under the appropriate containment for the laboratory manipulations being performed.

Discovery Life Sciences provides the highest quality of products and services at reasonable prices. Discovery Life Sciences will replace any sample free of charge that is found to be in error due to handling and processing by Discovery Life Sciences. We reserve the right to change, alter, or modify any product to enhance its performance and design.

Regarding custom services, Discovery Life Sciences’s only warranty is with respect to the services and Discovery Life Sciences does not guarantee the final performance of its products because of the nature of the manufacturing process. The customer shall notify Discovery Life Sciences in writing within 30 days of receipt of the product of any warranty claim. If the product is found to be defective or useless because of negligence, Discovery Life Sciences will repeat the services immediately.

The guarantee stated above is in lieu of any other warranty or guarantee, expressed or implied, arising by law or otherwise. Discovery Life Sciences makes no other warranty or guarantee, expressed or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. Under no circumstance shall Conversant be liable for any direct incidental, special,or consequential loss, damage, or expense directly or indirectly arising from the use of the product, even if Discovery Life Sciences knew of the possibility of such loss, damage, or expense. This warranty applies only to products in the original container that have been handled and stored in accordance with Discovery Life Sciences’s recommendations, and does not apply to products thathave been the subject of alteration, misuse, or abuse.
